Comprehensive

There are also analyses of many topical corporate governance issues such as board composition and structure, appointment of directors and board performance assessment, risk management and IT governance.

Board Fees – as a consequence of the continuing increase in the time required by directors to discharge their responsibilities, directors’ fees have also continued to rise.

Board Performance Assessment – a formal review was reported to be in place for 57% of boards compared with 53% reported in the 2006 Survey. There has also been a growth in the emergence of new ideas and methodologies to meet these expectations in a more time and cost effective manner.

Recruitment of Directors – more directors are being recruited from outside the established collective networks of current boards and there has been an increased demand for greater transparency regarding all aspects of running a listed public company.

IT Governance – the level of importance placed on IT governance varies considerably from company to company. Although some 59% of directors considered that their IT system impacted materially on their company’s viability as a going concern, only 9% of boards had prime responsibility for their IT function, although this was 50% up on last year..

Board Diversification – the expansion of the diversification of board members is also gaining momentum and one such emerging need is the question of IT governance and more boards are moving towards the recruitment of a specialist director to meet this need.
