Board Assessment
“Companies should disclose the process for evaluating the performance of the board, its committees and individual directors” ASX Corporate Governance Principles and Recommendations (2nd Edition)
The board has to prove its worth, just like all other parts of the company. If the board is not adding value to the company, then it is not functioning as it should and the company’s performance will almost certainly be sub-optimal.
ProNed are leaders in the field of corporate governance having served for over 40 years on the Boards and Senior Management teams of Australia’s leading corporations. We are able to offer 2 solutions for your board assessment process. These can be completed individually or combined to deliver substantial and rigourous analysis of your board.
Tradition v Technology: Which board assessment method should you use?
Interview
This is considered the more traditional method of board evaluation. The process starts with ProNed conducting face-to-face interviews with individual directors based on a structured questionnaire. Each director is then asked to provide a written statement of the contribution they are making and intend to make to the board. Finally, a peer assessment is completed where directors are asked to comment on the performance of their fellow board members. Following the interviewing process ProNed provides an indepth analysis of the current 'health' of the board and recommendations for development.
